Terms of Service
These Terms govern your access to and use of Concord AI ("Service"). By creating an account or accepting an invite, you agree to these Terms on behalf of yourself and, if applicable, your organization.
1. Accounts and workspaces
You must be at least 18 and authorized to bind your organization. Workspace owners are responsible for inviting members, assigning roles (owner, admin, sales, auditor), and removing access when employment ends. Keep credentials confidential.
2. Acceptable use
You may not, and must not allow anyone to:
- Send spam, deceptive, or unlawful contracts;
- Impersonate any person or misrepresent signing authority;
- Reverse engineer, scrape, or attempt to bypass authentication, RLS, or rate limits;
- Use the Service to violate ESIGN, UETA, eIDAS, HIPAA, GLBA, GDPR, or other applicable law;
- Upload malware, illegal content, or infringe third-party rights.
3. E-signature legality
Signatures captured via the Service are intended to satisfy ESIGN (15 U.S.C. §§ 7001–7006), UETA, and eIDAS Advanced Electronic Signature requirements. We provide audit certificates with each executed PDF, but you remain responsible for confirming that electronic execution is permitted for the specific transaction and jurisdiction.
4. Customer data
You retain all rights in content you upload (templates, agreements, client records). You grant us a limited license to host, process, transmit, and back up that content solely to provide the Service. We do not use customer content to train AI models. See our Privacy Policy.
5. Subscriptions and fees
Plans, usage limits, and pricing are described in your order form or self-serve checkout. Fees are non-refundable except where required by law. We may change pricing on at least 30 days' notice for the next renewal term.
6. Confidentiality and security
Each party will protect the other's confidential information with at least the same care it uses for its own. Our security controls are documented at /trust and in our SECURITY.md.
7. Service availability
We target 99.9% monthly uptime for the production application, excluding scheduled maintenance and force majeure. Live status is published at /status.
8. Suspension and termination
We may suspend or terminate access for material breach (including non-payment, abuse, or security violations) on reasonable notice where practicable. You may cancel at any time; data export is available for 30 days after termination.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. CONCORD AI IS A TOOL, NOT A LAW FIRM, AND DOES NOT PROVIDE LEGAL ADVICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Exclusive venue: state and federal courts in Delaware. EU/UK customers retain mandatory local consumer protections.
12. Changes
We may update these Terms by posting a new version. Material changes take effect 30 days after notice. Continued use constitutes acceptance.
